States
The following are the states in which I have formed or registered corporations for clients.
Many times:
- California
- Delaware
One-off or rarely:
- District of Columbia
- Florida
- Georgia
- Michigan
- New York
- Texas
- Washington
The District of Columbia is noteworthy for the following reasons:
- It isn’t actually a state.
- It requires that original, hand-signed Articles of Incorporation be filed (the others accept scans that I send to a local filing service by e-mail).
- Despite DC Statutes Sections 29-303.01(a) and 29-302.02(b)(2)(A), which state that a statement of specific business purpose is optional, the Department of Consumer and Regulatory Affairs insists that the Articles contain a statement of a specific business purpose – which requires that the Articles be amended in the future if the corporation wishes to change its business purpose (the others do not have this requirement).
