Hi Dana,
I am very glad to have found your blog! I wish I had ran into your blog before I dove into forming an LLC. You have many of the answers I should have thought of. At any rate, the LLC has been formed but I hope you can clear a few points for me or guide me to the right source.
The basics are very simple. A Taiwanese manufacturer of electronic plugs and connectors has hired me as their US rep. (I am a US citizen who live in the Chicago area). Sales, marketing and customer service are the main areas of my responsibility. I will be paid a base salary plus money to cover ordinary business expenses for now, but the goal is for me to make, operate and live on commission. I operate out of my house and will have a small inventory of our goods on hand. The parent company in Taiwan is Sound Plug Electronic Co., Ltd and the LLC (to protect our assets) I’ve opened is Sound Plug USA, LLC (registered in IL). I am the sole member, the manager (my title is US Sales Manager), the registering agent and sole employee (no payroll has been established yet). Sound Plug USA does not have any business yet but the parent company does have an independent contractor that came on a few months before I was hired. A bank account for Sound Plug USA has been opened. The parent company has been around for 10 years and have been doing business with several US manufacturers. I am the first US rep. Any suggestions? Red flags? Tax issues? Questions? Any help, insight or guidance will be much appreciated. Thank you!
